| MEMBERSHIP AGREEMENT |
| THE MEMBERSHIP AGREEMENT (“AGREEMENT”) IS A CONTRACT BETWEEN YOU AND BABBLEBEE, INC. (“BABBLEBEE”) AND APPLIES TO YOUR USE OF THE BABBLEBEE MEMBERSHIP SERVICES AND ANY RELATED PRODUCTS AND SERVICES AVAILABLE THROUGH WWW.BABBLEBEE.COM ( herein collectively referred to as “MEMBERSHIP”). YOU MUST ACCEPT THIS AGREEMENT IN ORDER TO BECOME A MEMBER (“MEMBER”) AND TO ACCESS AND USE MEMBERSHIP. |

| In addition, when using particular BabbleBee operated services, you shall be subject to any posted guidelines or rules applicable to such services which may be posted from time to time. All such guidelines or rules are hereby incorporated by reference into this agreement. |
| Membership is provided on a subscription basis for your personal and non-commercial use. To enjoy full access to Membership, a Member must pay a subscription fee (the “Subscription Fee”), which entitles the Member to all published membership services at the time of subscription, subject to all of the aforementioned policies. Should Subscription Fees not be paid when due, BabbleBee may, in its sole discretion, discontinue the Service, or remove content from the Service, until all outstanding amounts are paid in full. The Member is responsible for paying all applicable taxes. |
| Members subscribing to the Service are billed as of the day the subscription is purchased. Subscription fees will be assessed in accordance with the published prices of BabbleBee at the time of subscription. Subscription Fees are billable to and payable by the Member subscribing to that membership. All BabbleBee fees are non-refundable. A BabbleBee membership or service is an annual agreement. The agreement will be automatically renewed on an annual basis, unless a member cancels the agreement by setting his or her account not to automatically renew. |
| From time to time, BabbleBee may, in its sole discretion, make special offers and promotions, such as reduced fees, discounts, incentives or other benefits (“Promotions”) without creating any obligation on the part of BabbleBee other than as explicitly set forth in such Promotions, including, without limitation, any obligation to continue to offer such Promotions on an ongoing basis. |
| YOU AGREE THAT THIS AGREEMENT FORMS A LEGALLY BINDING CONTRACT BETWEEN YOU AND BABBLEBEE, AND THAT THIS AGREEMENT CONSTITUTES “A WRITING SIGNED BY YOU” UNDER ANY APPLICABLE LAW OR REGULATION. ANY RIGHTS NOT EXPRESSLY GRANTED HEREIN ARE RESERVED BY BABBLEBEE. |
